We are seeking an ACIS (ICSA) qualified Company Secretary – Corporate Governance to support and advise Western Union on all international Company Secretary / Corporate Governance matters. Based at our offices in Dublin, Ireland, the person we are looking to appoint will have a strong company secretarial and corporate governance background and experience of liaising with and advising senior executives.
Responsibilities of the ACIS (ICSA) qualified Company Secretary include:
Ensuring subsidiaries in the global structure meet their statutory obligations on corporate compliance matters
Manage the corporate governance requirements of international subsidiaries through the setting of agendas, preparation and distribution of board packs, completion of matters arising and minutes and the tracking of action points
Preparation and co-ordination of commercial register filings for international subsidiaries, including annual returns, financial statements etc.
Co-ordination with outside counsel in relation to discharging the company secretarial function on a multi-jurisdictional basis (including the above mentioned corporate governance requirements and commercial register filings)
Advising subsidiary boards of directors (Irish and international) and stakeholders on corporate governance related matters (this includes liaising with and advising senior Western Union executives)
Assisting the Treasury function in satisfying third party KYC/AML requests by collating necessary documents relating to international subsidiaries
ACIS (ICSA) qualified Chartered Company Secretary with company secretarial experience gained in-house, an Accountancy Practice or Law Firm
Experience in managing annual compliance for one company or a portfolio of companies
Experience in leading board meetings and advising senior executives on corporate governance matters
Proficient on corporate governance and company secretarial matters
